TERMS & CONDITIONS – ROYALTY-FREE MUSIC LICENSE

Welcome to myinstoremusic.com (the “Website”). These Terms & Conditions (“Terms”) govern your access to and use of the royalty-free music made available through the Website. By browsing, downloading, purchasing, or using any music from this Website, you agree to be bound by these Terms.
If you do not agree with these Terms, do not use the Website or the music.
1. Definitions
- “Licensor,” “we,” “us,” or “our” refers to the owner and operator of myinstoremusic.com.
- “User,” “you,” or “your” refers to any individual or company accessing or using the Website or music.
- “Music” refers to all sound recordings and/or musical compositions available on the Website.
- “Royalty-Free” means that no ongoing or per-use royalties are required after the applicable license fee (if any) has been paid.
2. Grant of License
Subject to your compliance with these Terms, we grant you a non-exclusive, non-transferable, non-sublicensable, royalty-free license to use the Music in accordance with Section 3 below.
No ownership rights are transferred. All rights not expressly granted are reserved by Licensor.
3. Permitted Uses
You may use the Music for lawful commercial and non-commercial purposes, including but not limited to:
- In-store and retail background music
- Business premises and public-facing locations
All uses must comply with applicable laws and these Terms.
4. Prohibited Uses
You may NOT:
- Sell, resell, sublicense, rent, lease, share, or distribute the Music as standalone audio files
- Claim ownership, authorship, or exclusive rights to the Music
- Use the Music in a defamatory, obscene, misleading, or unlawful manner
- Use the Music in connection with illegal activities
- Register the Music with any content identification, fingerprinting, or digital rights management system (including but not limited to YouTube Content ID)
5. Fees and Payment
All payments are final and non-refundable unless otherwise stated in writing.
6. Ownership and Intellectual Property
All Music provided on myinstoremusic.com is owned and controlled by MyInstoreMusic and/or its affiliated music labels, including but not limited to:
All Music and Website content are protected by copyright and other intellectual property laws. Unauthorized use, reproduction, or distribution of the Music outside the scope of these Terms is strictly prohibited.
No ownership rights are transferred to you under these Terms. All rights not expressly granted remain with MyInstoreMusic and its labels.
7. Term and Termination
Your license begins upon download, purchase, or use of the Music and continues indefinitely unless terminated.
We reserve the right to terminate or revoke your license immediately if you violate these Terms. Upon termination, you must stop using the Music and delete all copies in your possession or control.

8. Warranties and Disclaimer
The Music and Website are provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied.
9. Limitation of Liability
To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Music or the Website.
10. Indemnification
You agree to indemnify and hold harmless Licensor from any claims, damages, losses, or expenses (including legal fees) arising out of your use of the Music or violation of these Terms.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Licensor operates, without regard to conflict of law principles.
12. Changes to These Terms
We reserve the right to update or modify these Terms at any time. Continued use of the Website or Music after changes are posted constitutes acceptance of the revised Terms.

14. We confirm that all downloadable music provided by M F Records, Soulful Cafe, Groovetto, Soulfulhouse Amsterdam through our system is not represented by any collective management organisation ( P.R.O. )
15. Unauthorized Multi-Store Use
All subscriptions provided by MyInStoreMusic.com are licensed strictly on a per-store, per-physical-location basis, unless a multi-store or enterprise license has been explicitly agreed in writing.
Any company, corporation, franchise, group, brand, or organization operating more than one (1) physical location that subscribes to a single-store plan and uses, accesses, distributes, streams, duplicates, or makes available the service or any part thereof in multiple store locations shall be deemed to have committed a serious, intentional, and material breach of these Terms and Conditions.
Such conduct constitutes unauthorized use, illegal exploitation of licensed content, and infringement of contractual and intellectual property rights, regardless of whether the misuse is direct or indirect.
Upon detection of such a violation, MyInStoreMusic.com reserves the right, at its sole discretion and without prior notice, to:
- Immediately suspend or permanently terminate the subscription without refund;
- Formally notify the customer of the violation;
- Initiate legal (juridical) proceedings in any competent jurisdiction worldwide;
- Seek full injunctive relief to immediately stop the unauthorized use;
- Pursue financial compensation as set forth below.
Liquidated Damages
The customer expressly acknowledges and agrees that unauthorized multi-store use causes substantial and irreparable harm to MyInStoreMusic.com, including but not limited to loss of licensing value, reputational damage, contractual exposure, and enforcement costs, the precise amount of which would be difficult or impossible to quantify.
Accordingly, in the event of unauthorized multi-store use, the customer agrees to pay liquidated damages in an amount of not less than €100,000 (one hundred thousand euros) per violation, as a reasonable pre-estimate of damages, and not as a penalty.
This amount:
- Applies per unauthorized store location, and/or per detected violation;
- Is immediately due and payable upon written notice;
- Does not limit MyInStoreMusic.com’s right to claim additional or higher damages where permitted by law;
- Does not exclude MyInStoreMusic.com’s right to recover all legal fees, court costs, enforcement expenses, and administrative costs, which shall be fully borne by the customer.
No Tolerance and Enforcement
Unauthorized multi-store use is deemed willful misconduct.
MyInStoreMusic.com enforces a zero-tolerance policy and actively monitors usage patterns, technical indicators, and contractual compliance.
Any attempt to circumvent licensing limitations, conceal unauthorized use, or misrepresent the number of store locations shall be considered an aggravating factor in enforcement and damage claims.
By using myinstoremusic.com or any Music from the Website, you acknowledge that you have read, understood, and agreed to these Terms & Conditions.
